Description
The Global Tax & Customs function employs approximately 225 professionals. The function is headquartered in Wayzata, Minnesota. Other tax professionals are located throughout the world with principal offices in Sao Paulo, Buenos Aires, Amsterdam, London, Singapore, and Shanghai.
This position operates as Senior Tax Counsel. The Senior Tax Counsel will be a member of our company's global tax planning team and will have specific, assigned responsibilities for regional and global tax planning. Responsibilities will include leading the tax work on cross-border capital and legal entity structuring projects, mergers and acquisitions, joint ventures and dispositions.
In addition, the Senior Tax Counsel will be responsible for reviewing and handling U.S. tax planning issues for the ongoing operations of our global businesses. That includes Subpart F and foreign tax credit planning, trading patterns and finance, transfer pricing, and tax controversies and audits. The individual also will be responsible for coordinating advice and strategies with other members of the global tax and customs function, including compliance functions, as well as the U.S. GAAP reporting of the advice and strategies with our Corporate Financial Reporting group.
Key responsibilities will include:
Tax planning: lead regional, complex planning projects involving multiple stakeholders; provide tax advice to business units and functions (including other members of the tax function) with an emphasis on our company's operations outside of the U.S. Tax planning entails issue identification, development of alternative solutions, recommendation to business unit and functions, assistance with implementation, and (if necessary) post-implementation review.
Tax controversies: development of legal arguments and management of external resources in connection with audit and litigation in the U.S.
Tax training: provide training to business units and functions on key tax initiatives and policies.
Tax reporting and compliance: assist U.S. tax compliance groups with complex reporting issues.
Qualifications
Required:
Must possess a Juris Doctor
Minimum of 10
years of tax planning experience, with at least 5 years' experience working for a major law firm or Big Four public accounting firm
Experience demonstrating a deep practical and technical understanding of the U.S. tax rules applicable to cross-border transactions and mergers, acquisitions, and dispositions
Experience demonstrating capacity to structure, model and optimize outcomes in complex transactions
Demonstrated capacity to lead complex projects and deliver finished work product in a timely manner
Ability to identify and resolve issues with limited input from senior team members or third party advisors
Writing skills acquired through legal training as well as work on I.R.S. rulings, appeals and/or litigation
Experience managing relationships with outside advisors (e.g., law firms or accounting firms)
Ability and willingness to travel up to 8 weeks/year
Preferred:
Expertise and practical experience in one or more of the following tax sub-specialties: partnerships, financial products, income tax accounting and tax procedure / reporting
Graduate with honors from top 25 law school
MBA or other degree in quantitative area will be highly desired (e.g., economics or finance)
